"Charros IV came under attack: here's our chance to make our breakthrough in the hive market of the competition!" Tiffany told the Jawa in his office on Ziost.

"Utinni!"

Charros IV. The one place that, prior to the Galactic Empire attacking, where ergonomic assessments were easy as pie to get. Klesta would never think of going to the nest of their biggest competitors, the galactic leaders in his area of business, until now. Several ergonomic assessment firms were floundering, some of them to the point where they were to file for bankruptcy. Perhaps I can make a headway on Charros IV if I purchase one of those floundering firms, he thought. But he couldn't tell off-hand whether the Xi Charrian authorities would allow off-worlders to purchase even floundering companies, even with promises of investment. He knew some worlds, like Wann Tsir, allowed off-worlders to buy businesses in exchange of which they had to promise to not only keep the locations in place, but also invest within a certain timeframe, while others, like Kulthis, would be hostile. However Kulthis isn't exactly fair; they are not simply protectionistic but also isolationistic.

"Now tell me what you can about Xi Charrian business practices, whether there are investment requirements to allow us to invest there or not"

"All I can say is: bring a protocol droid with you. Beyond that, I can't say at all"

To that Tiffany drew a blank. Sure she could understand that knowing local business practices will make the whole process much smoother, but the Zeltron girl didn't know a thing about Xi Charrians other than they communicated using clicks, and they even ran quarterly ergonomic assessments. Whereas non-Xi Charrians would often wait until work accidents happen, or their injuries thereof, Klesta knew that construction sites was the rage in the Xi Charrian ergonomic assessment market. So he would find it easy to get clients while these construction sites are underway. But he took a while to find what documentation he could to brush up on the business practices; he could let Tiffany pilot his private ship while he flew en route towards Charros IV to accomplish what business purpose he hoped to achieve. And, of course, the protocol droid, as was recommended; perhaps in his mind, these insectoids will not care about who is making the investment so long as there are investments. Perhaps the Prelate would be of a different mind.

After a little skimming across the sector's media, and also the latest issues of the Sith Inquisitor, the Jawa came to a conclusion as his ship was in hyperspace, en route to Charros IV. He did not hesitate to talk about it with Tiffany, perhaps that bit of info was able to change their approach to how they would be able to get the business done. Understandably the regime radicalized itself and that was also affecting how they would do business.

"Bad news: the Xi Charrians are not taking any prisoners, and they refuse to deal with any company with known Imperial ties. Speaking of which, do we have any Imperial ties?"

"The Imperials, as they defined them, would never invest in ergonomic assessment, but that's perhaps because of their laissez-faire attitude regardng WH&S. But no, we don't have any: there is no RE anymore"

Once Klesta's ship made its reversion over the Charros IV system, it began to descend towards the planet like a routine job - to be frank, to Tiffany, it was one. But also that his potential business partner around Workshop Xcan, also realized that, while the Xi Charrians were workaholics, they held service sectors in a limited regard at best, unless it had to do with healthcare or WH&S. So he had a hard time finding a good mergers and acquisitions law firm to do what he needs to do, to go over the legalese required. Tiffany was of limited utility here, and he realized as much; how could he make sure that the conditions for him buying the floundering ergonomic assessment business were permissible under local law? In most cases, one should not proceed with a merger without making sure that the legal part is covered - which is more complicated than it seems to be at first glance. But once once he disembarks with Tiffany and the protocol droid in tow, in a devastated area...

"Utinni! These Imperials are monsters!"

"There's no time for pleasantries: we wouldn't want to waste the seller's time" Tiffany told him.

IC: The Xi Charrian that owned the flagging ergonomic assessment business was rushing forth from its ruined office (neither person could readily tell its gender), almost begging even, to get someone to buy the business. That insectoid was spiritually in a precarious position, knowing that its livelihood is important, much as would be the case for nearly every healthy Xi Charrian. It was understandable, from the seller's standpoint, to begin the meeting and ask for guarantees pertaining to the workforce. But once that is out of the way, perhaps this is going to be smooth sailing after that.

"<Welcome, prospective buyer. Before we begin, there is one thing I would like to make clear: I will not accept any offer that does not involve keeping the workforce>" the manager told the two off-worlders.

"How many workers do you have?"

"<It's a pretty small operation: we have about 30 employees, with which we nevertheless have the ability to provide round-the-clock service>" the Xi Charrian CEO answered the Jawa.

"Enabling us to keep those employees on this planet would require us to pay the repairs as well as to make insurance claims, and perhaps pay for reparations out of the insurance claims"

"<And repay our debts>"

The Silver Jedi having recaptured the Saari Ha sector, the first order of business is to help the Xi Charrians rebuild their homeworld, and, also, a lot sought to enlist, those who lost their livelihoods, and several of whom did so with the understanding that they can be put on reserve if their professional situation improves. He knew that the situation was precarious, but Tiffany finally fished around for the investment visa requirements, as set forth by the Prelate. So the executive in front of him would not place much in terms of conditions over how what is to become the Charros IV location of the Sith Inquisitor's ergonomic assessment division is run, so long as the jobs are kept? These were lenient terms by Jawa standards. He might be inclined to agree, but perhaps Tiffany would sense that there is a trap somewhere.

"Before we can conclude the sale, could you please provide the manifest of your loans?"

To the manager, the manifest of the loans forced the insectoid to get whatever staffer is remaining to look for the loans folder. To get the entire content of the loans folder handed to the Jawa. All the loan terms - the most important of them being the length and the interest rate - would be shown to the Jawa in full. Visibly annoyed, he would rather ask to cut to the chase and just be given a list of the outstanding balances, their respective repayment expiry dates and interest rates. He would probably land the deal provided he knows whether the apples are good or rotten. And hopefully the legal paperwork would be simple to fill out. Yes, Xi Charrians are workaholics. Yes they considered work accidents as blaphemy, and, by that token, workplace health and safety as sacred.

The manifest of loans indicates that they have incurred 2 million credits in debts, but also because there were a lot of ergonomic assessors on Charros IV, the highest per-capita concentration in the galaxy for planets over 1 billion in population, it wasn't exactly easy to make a profit on that planet. So, in essence, it wasn't simply floundering, it was on the verge of bankruptcy. The big challenge, to Klesta's eyes, would be to make sure the Charros IV office remains afloat. He discovered, much to his chagrin, that impeccable work ethic in one area does not translate to all areas: he realized that some business owners get too tunnel-visioned into their business vision and its execution that they don't stop to think about whether it's viable or its cost of execution. And then the true cost of getting a foothold on Charros IV would become clear.

"If you want my opinion, I have to say, repay the debts with the highest interest rates"

"Don't worry about which debts will have to be repaid"

"For 3 million credits, we can agree to all the terms and allow your work to continue. That said, we will need you to implement new methods that will allow you to make a more effective use of what staff you have, pending a check of processes"

Was the manager ready to accept that its methods could be, well, critiqued? While, of course, the Xi Charrians were, in a galactic sense, the first movers, that transaction would be the telltale sign that they have squandered their first-mover advantage in ergonomic assessments. Then again, ergonomic assessments are hard sells at best almost everywhere outside of their homeworld, making expansion in other markets a feasible but difficult proposition. Thus it wasn't a sector where first-mover advantages were critical, but today's business environment is usually defined as subsectors of a particular industry. Civilian drydocks, HVCs, ergonomic assessments... anything. Tiffany drafted the memorandum of understanding, with the final terms and conditions being drafted to the best of her ability and the best of her limited knowledge of Xi Charrian business law as applied to mergers and acquisitions.

Xi Charrians had a pretty different script for the written word, and the two understood as much as soon as the manager signed the document that will later go to the regulatory bodies for them to approve the transaction. And the Jawa was more than happy to finally get a beachhead in the Mecca of ergonomic assessments, which, in the world of workplace health and safety, was the only thing missing from the Sith Inquisitor to actually make it outside their main markets. There was no room for growth in the Caldera, he could not expand around Commenor, much less Cyrillia or Tarhassan, either. But he knew that getting a foothold on Charros IV and the Halla sector was not the end.
